Terms of Service

Effective date:

These Terms of Service govern your access to and use of Variel. By using Variel, you agree to these terms. This is a draft pending legal review — not yet binding.

What Variel is

Variel is brand infrastructure for AI-built products. It runs the positioning-to-brand-system step that is otherwise missing: you describe what you build and who it is for; Variel generates a brand object — color, type, space, motion, voice — served live to every agent over the Model Context Protocol (MCP). The service includes a web studio, an MCP server, brand validation tools, and a public badge surface.

Accounts

Account creation and authentication are handled by Clerk. You are responsible for keeping your API key and session secure. Do not share your API key. Variel identifies you by the user id Clerk assigns; that id is the primary key across your projects and brand data in our database.

You must be of legal age to form a binding contract in your jurisdiction. Accounts created by automated means or to circumvent rate limits are prohibited.

Acceptable use

Use of Variel is governed by our Acceptable Use Policy. By accepting these terms you also accept the Acceptable Use Policy. The short version: use Variel to build real products, not to abuse generation limits, circumvent rate controls, or produce infringing or unlawful output.

Billing and refunds

Paid plans are processed by Stripe via Clerk Billing. The Free tier requires no payment. The Pro tier is a paid monthly or annual subscription. Plan amounts are displayed at checkout and on the pricing page.

Subscriptions renew automatically unless cancelled before the renewal date. Cancellation stops future renewals; the remainder of a paid period remains accessible. Refunds for unused periods are at our discretion — contact us at the address below if you believe a refund is warranted. [PLACEHOLDER — counsel to confirm refund policy before launch.]

Intellectual property and generated output

You own the brand outputs Variel generates for you — the tokens, voice, moodboard, and component code that result from your positioning input. Variel grants you a license to use those outputs in your products.

Variel retains rights in the service itself: the platform, the engine, the MCP tools, and the validation logic. You may not reverse-engineer the service or use it to build a competing brand-infrastructure product.

[PLACEHOLDER — counsel to confirm IP assignment scope, license grant breadth, and any work-for-hire framing before this section is final. This is a counsel hotspot.]

Disclaimers

Variel generates brand output using AI models. Generated output is provided as-is. We do not warrant that generated output is original, non-infringing, or fit for any particular purpose. You are responsible for reviewing generated output before using it in production.

THE SERVICE IS PROVIDED WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. [PLACEHOLDER — counsel to refine warranty disclaimer language.]

Limitation of liability

TO THE EXTENT PERMITTED BY LAW, VARIEL'S LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. VARIEL IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. [PLACEHOLDER — counsel to confirm liability cap and any jurisdiction-specific carve-outs.]

Termination

You may stop using Variel at any time and delete your account via your Clerk user profile. We may suspend or terminate accounts that violate these terms or the Acceptable Use Policy. On termination, your personal project and brand data is deleted per the cascade described in our Privacy Policy.

Governing law

[Governing law and jurisdiction — TBD by counsel. This section is a required placeholder and must be completed before these terms are binding.]
